These Subscription Terms govern the purchase and use of paid plans for the Ampliray Service. They are entered into between you and Ampliray LLC, a limited liability company incorporated under the laws of the Republic of Armenia (“Ampliray”, “we”, “us”) and form part of the Ampliray Agreements described in our Terms of Service. Capitalised terms not defined here have the meaning given in the Terms of Service or the Music Distribution Agreement.
1.1 These Subscription Terms apply to every purchase of a Plan, whether initial, renewal or upgrade. If they conflict with the Terms of Service or the Music Distribution Agreement on any matter of price, payment, renewal, cancellation, refunds or the expiry of a Plan, these Subscription Terms prevail.
1.2 You need an active Plan to submit new Releases for distribution. On every Plan you keep 100% of the rights in your Content and receive 100% of Net Revenue. Our fee for the Service is the Plan price; we take no commission on your royalties.

2.2 Each Plan feature is described in more detail, together with its conditions, in Section 14. The Plan description shown at checkout at the time of your purchase forms part of your contract for that billing period.
3.1 How the contract is formed. The Plans shown on our website are an invitation to buy, not an offer. You make an offer by completing checkout, and the contract for your Plan is formed when we confirm your order by email or activate the Plan in your dashboard, whichever happens first.
3.2 Before you pay. Before you pay, checkout shows the Plan, the price for the first billing period, the price at which it will renew, applicable taxes, and the renewal date. You can correct any input error before you submit the order.
3.3 Confirmation. We send an order confirmation to the email address on your Account, including a link to these Subscription Terms as in force at the time of purchase. Please keep it for your records.
4.1 Currency. Prices are stated and charged in United States dollars. If your card or account is in a different currency, your bank or payment provider may apply its own exchange rate and fees, which we do not control.
4.2 Taxes. Value added tax, goods and services tax, sales tax or similar taxes are added to the price where we, or the payment provider acting as seller of record, are required to charge them. The total amount payable, including such taxes, is shown at checkout before you pay.
4.3 No other charges. We charge no per-release fee, no per-store fee and no commission on your royalties. The only amount payable to us for a Plan is its price as shown at checkout.
5.1 Payment providers. Payments are processed by the payment provider named at checkout. We do not receive or store your full card number. Where the payment provider acts as reseller or “merchant of record” — as stated at checkout and on your receipt — it is the seller of record for the payment transaction, its own terms govern that transaction and its receipt is your tax invoice; Ampliray remains the provider of the Service and remains responsible to you for it under the Ampliray Agreements.
5.2 Payment in advance. Each billing period is paid in full in advance. By purchasing a Plan you authorise us, and the payment provider, to charge the payment method you provide for the initial period and for each renewal under Section 6 until you cancel.
5.3 Payment method. You must provide a valid payment method that you are authorised to use and keep it up to date. You can update it from your dashboard at any time.
5.4 Plan fees and royalties are separate. Plan fees are paid by you; they are not deducted from your royalties, and your royalty balance cannot be used to pay for a Plan unless we offer that option in your dashboard.
6.1 Annual term. Every Plan runs for twelve months from the date it is activated (a “billing period”).
6.2 Automatic renewal. Unless you cancel under Section 7, your Plan renews automatically at the end of each billing period for a further twelve months, and the renewal price is charged to your payment method on or shortly before the renewal date. The renewal price is the standard annual price of your Plan in force on the renewal date, which is shown in your dashboard; the introductory first-year price does not apply to renewals.
6.3 Renewal reminder. We will email you at least 14 days before each renewal with the renewal date, the amount to be charged and a link to cancel.
7.1 How to cancel. You can cancel automatic renewal at any time from the billing section of your dashboard, or by writing to support@ampliray.com from the email address on your Account. Cancellation takes effect from the end of the current billing period; to avoid the next charge, cancel before the renewal date.
7.2 Effect of cancellation. After you cancel, your Plan stays fully active until the end of the billing period you have paid for, and then ends. Section 8 then applies to your Releases. Cancelling does not entitle you to a refund for the current billing period (Section 10).
7.3 Account remains open. Cancelling a Plan does not close your Account. You keep access to your dashboard, statements and balance, and can request payouts, for as long as your Account is open.
8.1 When a Plan ends. A Plan ends when a billing period expires without being renewed — because you cancelled, because payment failed after the retry period in Section 11.1, or because you did not renew — or when it is terminated under Section 13. From that moment you cannot submit new Releases, and you cannot edit Releases already delivered, until you buy a Plan again.
8.2 30-day grace period. Releases delivered to Stores under any Plan stay in Stores for 30 days after the Plan ends (the “grace period”). If you buy a Plan again during the grace period, nothing is removed. If you do not, we will instruct the Stores to remove those Releases at the end of the grace period.
8.3 Your royalties are not affected. The end of a Plan never affects royalties. Royalties earned while a Release was in Stores — including royalties reported by Stores after it was removed — continue to be credited to your Account at 100% of Net Revenue and remain payable under the Music Distribution Agreement.
8.4 Removed releases. Once a Release has been removed under Section 8.2, distributing it again requires an active Plan and a new delivery. Stores may not restore its previous play counts, playlist placements or release date, and we cannot guarantee that they will.
9.1 Upgrades. You can move to a higher Plan at any time. The upgrade takes effect immediately and starts a new 12-month billing period on the new Plan. You pay the price of the new Plan for that period, less a credit for the unused part of your current billing period, calculated pro rata by day (the day of the upgrade counts as a day of the new Plan); the amount is shown at checkout before you pay. If you upgrade during a billing period charged at a first-year introductory price, the introductory discount still covers only that first year: the part of the new period up to the end of your first year is charged at the new Plan’s introductory price and the rest of the new period at its standard price, both pro rata by day, and the credit is calculated from the introductory price you paid. Your renewal date becomes the end of the new period, and from that date the standard price of the new Plan applies.
9.2 Downgrades. You can move to a lower Plan at any time; the change takes effect at your next renewal date, and until then you keep the features of your current Plan. No partial refund is given for the current period.
9.3 Limits after a downgrade. Releases already delivered stay in Stores after a downgrade. From the date the downgrade takes effect, the artist-name limit and features of the new Plan apply to new submissions only. Releases delivered with a custom label name before a move to Lite keep that name.
10.1 Why. A Plan gives you immediate access to the Service, and the work of reviewing, encoding and delivering your Releases to Stores — and the third-party costs of doing so — begins as soon as you use it and cannot be undone.
10.2 Billing errors. If you are charged twice for the same period, charged an amount different from the one shown at checkout, or charged after you validly cancelled before the renewal date, we will refund the amount charged in error. Please contact support@ampliray.com within 60 days of the charge.
10.3 Our discontinuation or termination. If we discontinue a Plan or the Service, or terminate your Account other than because of your breach, we will refund the unused part of the current billing period pro rata, as described in Section 13.
10.4 Statutory rights. Where a law that applies to you mandatorily gives you a right to withdraw from the contract or to a refund that cannot be excluded by agreement, this Section does not limit that right. Where such a law allows it, you will be asked at checkout to request that the Service begin immediately and to acknowledge that you lose any right of withdrawal once the Service has been fully provided, or that a proportionate amount for the Service already provided is payable if you withdraw.
11.1 Failed payments. If a renewal payment fails, we will tell you by email and retry the payment over a period of up to 14 days. Your Plan stays active while we retry. If the payment still has not succeeded at the end of that period, your Plan ends on the original renewal date and Section 8 applies.
11.2 Chargebacks. If you dispute a valid charge with your bank or card issuer instead of contacting us, we may suspend your ability to submit new Releases until the dispute is resolved. If the chargeback succeeds for a charge that was properly made, the Plan for that period ends, and we may set off the disputed amount and any chargeback fee we are charged against your royalty balance. Please contact us first — most billing problems can be resolved directly.
12.1 First-year price. The first-year price applies once per person or organisation, to the first twelve months of their first paid Plan (including, after an upgrade, the part of the new billing period that falls within those twelve months, as set out in Section 9.1). It is not available on renewals or to anyone who has previously held a paid Plan, whether under the same or a different Account.
12.2 Promotions. Discount codes and other promotions are subject to the conditions stated when they are offered, cannot be exchanged for cash and, unless stated otherwise, cannot be combined. We may refuse or reverse a promotional price obtained through multiple Accounts or other abuse.
13.1 Price and Plan changes. We may change Plan prices, features or limits. A change never affects a billing period you have already paid for: it applies from your next renewal, and we will give you at least 30 days’ notice by email before that renewal. If you do not accept the change, you can cancel renewal under Section 7. We may add features to a Plan at any time.
13.2 Discontinuation or termination by us. If we discontinue a Plan, discontinue the Service, withdraw the Service in your country for reasons that are not your fault, or terminate your Account for convenience under Section 13.3(d) of the Terms of Service, we will refund the unused part of your current billing period pro rata to the original payment method, or offer you a comparable Plan for the remainder of that period.
13.3 Termination for your breach. If we terminate your Account because of your material breach of the Ampliray Agreements, no refund is given for the remainder of the billing period.
13.4 Closing your Account. If you close your Account, your Plan ends immediately, no refund is given, and Releases are removed from Stores as described in Section 15 of the Music Distribution Agreement, without the 30-day grace period in Section 8.2.
14.1 Unlimited releases. Every Plan allows an unlimited number of Releases, with no monthly quota. We may nevertheless limit submissions or deliveries at our discretion, with reasons, in the cases described in Section 5.6 of the Terms of Service — for example mass uploading of AI-generated or near-identical tracks — and Releases remain subject to the content rules of the Ampliray Agreements.
14.2 Review times. Review times are the targets within which we aim to complete our review of a correctly submitted Release. They are not guarantees, do not include time spent waiting for your corrections, and do not cover the time a Store takes to publish the Release.
14.3 Support and personal manager. Support is available 24/7 by the channels shown in your dashboard; response times are targets. On Deluxe, a named member of our team acts as your point of contact for planning releases and resolving issues. The manager does not act as your agent, lawyer or artist manager.
14.4 Playlist pitching. On Deluxe, we may submit selected Releases for consideration by Store editorial teams where a Store offers that possibility. Editorial decisions are made solely by the Stores; we do not promise any placement.
14.5 YouTube Content ID. On Deluxe, we will register every eligible Release in YouTube Content ID free of charge. On Lite and Pro, you can add Content ID to an individual Release for USD 5.99 per Release per year, charged in advance when we approve the Release (or straight away if you add it to a Release that is already approved), with nothing charged if the Release is withdrawn or declined before approval, and renewing automatically each year until you disable it (Sections 6 to 10 apply to the add-on as they do to a Plan). Registration is subject to YouTube’s eligibility rules, which exclude, for example, material you do not exclusively control and certain AI-generated or public-domain material. The terms of this service are set out in Section 2.4 of the Music Distribution Agreement. Content ID registration of a Release ends when the Release is removed from YouTube, and once you request the removal of a Release its Content ID add-on stops renewing (the year already paid is not refunded). If you move to Deluxe, Content ID add-ons you have bought stop renewing and those Releases are covered by Deluxe’s free Content ID from that moment, without interruption; the add-on fees already paid are not refunded or credited. Content ID included in Deluxe lasts only while you are on Deluxe: if you move to Lite or Pro, or your Plan ends, the free registration of each Release ends on that date unless you add Content ID to that Release as a paid add-on.
14.6 Early access to new stores. On Pro and Deluxe, Releases may be offered for delivery to newly added Stores before they are made available on Lite. We do not promise any particular Store or timing.
14.7 AI music. AI-assisted and AI-generated music is supported on every Plan, subject to Section 7 of the Terms of Service and to the policies of each Store.
14.8 Custom label names. On Pro and Deluxe you may set your own label name and copyright notices for each Release. On Lite these are filled with an imprint name generated for your Account. A generated imprint name does not affect your ownership of your music. Both rules are set out in Section 3.6 of the Music Distribution Agreement.
14.9 Artist names. The artist-name limit of your Plan (3 on Lite, 10 on Pro, unlimited on Deluxe) is the number of names you can release under as the main artist of a Release. Each name you add to your artists in the dashboard, and each name under which a Release of yours is in review or in Stores, uses one; co-artists and featured artists do not. You can remove a name that no Release in review or in Stores uses; a name in use stays on your Account.
15.1 These Subscription Terms are governed by the laws of the Republic of Armenia, and the courts of the Republic of Armenia have exclusive jurisdiction over any dispute arising out of or in connection with them, as set out in Section 17 of the Terms of Service. Sections 18 (Changes), 19 (Notices) and 20 (General provisions) of the Terms of Service also apply to these Subscription Terms.
